Terms of Service

1. The service and the parties

DaMi provides business clients with a service that automatically replies to Instagram messages and comments on behalf of their account. The service is operated by a sole proprietor registered in the Russian Federation (details in the page footer). These terms form the agreement between us and you as a business client. By starting to use the service — connecting an account or signing in to the dashboard — you agree to them. If you do not agree, do not connect an account.

2. Who may use the service

The service is intended for companies, sole proprietors, and self-employed professionals who use Instagram commercially. By creating a dashboard account you confirm that you are at least 18 years old and are authorized to act on behalf of the business whose account you connect. The service is not intended for personal use.

3. Connecting an account

To use the service you connect your Instagram Business or Creator account via Meta's official OAuth and grant permissions to read and send messages and comments. You confirm that you are authorized to manage this account and to grant access to it. You enter your Instagram password only on Instagram's side — we never receive it. You can revoke access at any time in Instagram settings or in the dashboard.

4. Your responsibilities as a business client

You are responsible for the “sales context” you enter: the agent relies on it, and inaccurate statements about a product, price, or terms will be repeated in conversations. You are responsible for the lawfulness of communicating with your own customers — including advertising rules, the processing of your leads' personal data, and disclosure of automation where law or platform policy requires it. You agree to comply with the Instagram and Meta terms and not to use the service in verticals where automated messaging is prohibited. We do not vet your business for compliance with the law of your country — that remains your responsibility.

5. Acceptable use

You agree not to use the service to send spam or unsolicited messages, to deceive, to present the agent as a specific named human employee, to collect personal data without a legal basis, to violate Meta/Instagram policies or applicable law, or to attempt to circumvent platform limits — including Meta's 24-hour messaging window. We may suspend or terminate the service if these terms are violated, without prior notice where the violation creates risk for the platform or third parties.

6. How the agent works, and what we do not guarantee

Replies are generated by a large language model based on the sales context you provide and the conversation history. The agent replies in the language the other person writes in. Until the sales context is filled in, the agent deliberately stays silent — this prevents answers invented out of thin air. The model can be wrong, misread a question, or phrase something differently than you would. Final control stays with you: in any conversation the bot can be stopped with one button and continued manually, and the full history is visible in the dashboard. We do not guarantee any specific commercial outcome, conversion rate, or sales volume.

7. Follow-up for stalled conversations

If the other person stops replying, the agent may send them one short reminder — and only inside the 24-hour window during which Instagram allows replying to a user's message. We never initiate a conversation after that window closes, we do not run broadcasts, and we never send a second reminder. When the deal is already agreed or the person has said goodbye, no reminder is sent. The feature can be switched off in the dashboard for each connected account.

8. Pricing and payment

For the first two weeks after connecting an account the service is free and requires no card. Pricing after that is calculated individually — by the number of conversations and connected accounts — and fixed in a separate invoice or agreement. Prices may change; we notify active clients at least 30 days before a change takes effect, and until then you may decline to continue. Our fees do not include any costs charged by Meta.

9. Availability

We aim for uninterrupted operation but do not offer a guaranteed service level (SLA) and may carry out maintenance. The service depends on the Instagram Graph API: changes to Meta policies, rate limits, outages, or restrictions on the platform's side may limit or temporarily stop the agent. Such circumstances are outside our control.

10. Liability

The service is provided “as is.” We are not liable for the content of automatically generated messages sent on your behalf, for lost profit, for Meta's actions regarding your account, or for indirect damages. In any case our aggregate liability is limited to the amount you actually paid for the service during the three months preceding the event. These limitations do not apply where the law does not permit them.

11. Intellectual property

The service, its code, interface, and website materials belong to us. The sales context, texts, and conversations created while using the service remain yours — we process them only to deliver the service and never use them to train AI models (see the Privacy Policy).

12. Suspension and termination

You may stop using the service at any time: disconnect the app in Instagram settings, or delete the account or the whole dashboard account in the dashboard. This stops the service and triggers irreversible deletion of the associated data. We may terminate the service for breach of these terms, for non-payment, or if we discontinue the service — notifying you by email in advance, except in cases of serious violation.

13. Independence from Meta

DaMi is an independent product, not affiliated with, sponsored by, or endorsed by Meta Platforms, Inc. Instagram and Meta are trademarks of their respective owners and are used here solely to describe compatibility. Use of the service is also subject to Meta's platform terms and policies, which prevail in case of conflict.

14. Changes to these terms

We may update these terms. The current version is always available on this page, with the last-updated date at the top; we notify active clients by email about material changes. Continuing to use the service after a change takes effect means you accept it.

15. Governing law and disputes

These terms are governed by the law of the Russian Federation. We aim to resolve disputes by correspondence: send your claim to support@damiagent.com and we will respond within 30 days. If no agreement is reached, the dispute is heard by the court at the operator's place of registration, unless a mandatory rule of law provides otherwise.
